By engaging ProDevGames for any development service, you agree to be bound by these Terms and Conditions. These terms apply to all clients, contractors, and visitors interacting with our services or website.
All projects commence with a written Scope of Work (SOW) or Project Agreement signed by both parties. Services provided include those explicitly defined in the SOW. Any additions or changes to scope require written approval and may affect timeline and pricing.
Projects are billed according to the agreed milestone schedule. A minimum 50% deposit is required before work commences on any project. Remaining payments are due at defined milestones. Invoices are due within 14 days of issuance. Late payments incur a 2% monthly charge on outstanding balances.
Upon receipt of full payment, ProDevGames assigns full intellectual property rights to the client for all custom-developed code, assets, and deliverables specified in the SOW. Third-party assets (middleware, plugins, licensed assets) remain subject to their respective licenses. ProDevGames reserves the right to display completed work in our portfolio unless a NDA or confidentiality agreement specifies otherwise.
Deposits are non-refundable unless ProDevGames fails to initiate work within the agreed timeline. Milestone payments are refundable only if the delivered work materially fails to meet the agreed specifications after a reasonable revision period. Please see our full Refund Policy for details.
Delivery timelines are estimates based on agreed scope. ProDevGames will communicate promptly if delays are anticipated. Timelines may be adjusted if the client fails to provide required assets, approvals, or feedback within the agreed turnaround windows (typically 5 business days).
Clients are responsible for providing accurate project information, timely feedback, required content and assets, and ensuring they have rights to any third-party materials provided to ProDevGames. Clients are responsible for final review and approval of all deliverables before launch.
Both parties agree to maintain confidentiality of all non-public project information. ProDevGames will not disclose client project details to third parties without written consent, except as required by law.
ProDevGames' total liability shall not exceed the total fees paid for the specific project in dispute. We are not liable for indirect, incidental, or consequential damages arising from use of delivered software, including lost revenue, data loss, or business interruption.
These terms are governed by the laws of the State of Delaware, United States. Disputes shall be resolved through binding arbitration in accordance with AAA Commercial Arbitration Rules.
